Debenture Issue - Private Company
1)Creation of trust with clauses for security and mortgage; pay stamp duty and registartion fees
[Stamp duty wil vary on state to stae;the same needs to be registered were immmoveable properti is situated]
2)Regsitration required under Trust Act, 1882 Section 5 as immoveable propert is involved.
3)Create charge in favour of debenture trustee
4)File Form 10 in case of series of debenture
5)Issue debenture certificate (no stamp duty, if unlisted/ no stamp duty if supporting mortgage is registered)
